shareholders' agreement

   An employment agreement that is common among the shareholders of small corporations that permits a shareholder also to have a management position in the corporation without the threat of conflict of interest or self-dealing claims being brought against him or her. The term also sometimes is used to mean the same as a buy-sell agreement.
